TERMS OF USE FOR PATIENTS

ARTICLE 1.0: INTRODUCTION

Aspramed is a medical solution platform that provides a secure Telehealth consultation for patients from any location at the click of a button. With telehealth from Aspramed, you can adapt to the changing landscape and give your patients care they deserve at every needed opportunity. It allows you to connect to experienced medical practitioners regardless of their geographical location. Our website is tailored for adaptability and easy use. We make use of the latest technology to provide customized medical services for an overall improvement in the state of your health. We are registered in Nigeria

ARTICLE 2.0: AGREEMENT TO TERMS

The terms and conditions (hereinafter collectively referred to as, the “Terms of Service”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity(YOU) and Aspramed (WE, US, OUR) doing business collectively concerning your access to and the use of this website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto. This Terms of Service shall govern your use of this Platform and its services offered through this Platform, therefore, please read and understand the Terms of Service before you access the services, you agree that by accessing this Site, you have read, understood, and agreed to be bound by all of these Terms of Use.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We may alert you about any changes by updating the “Last updated” date of these Terms and Conditions and you waive any right to receive specific notice of any of such change. It is your responsibility to periodically review these Terms and Conditions to stay informed on the updates. You will be subjected to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of this Site from the date such revised Terms are posted. Emphatically, there is no responsibility on our end to personally notify you of any such update by any other means contrary to or different from the one stated above, you are entirely liable for whatever happens as a result of your negligence in keeping up with the updates.

By accessing, viewing, downloading, installing, and/or using the Platform or the services offered through the Platform, you voluntarily and unconditionally accept to and agree to be bound by the Terms of Service and the Privacy Policy. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THIS SITE AND YOU MUST DISCONTINUE IT’S USE IMMEDIATELY.

 

ARTICLE 2.1: DEFINITION OF TERMS

  • Applicable Law” alternatively referred to as “Governing law” means all applicable statutes, enactments and laws in force within the geographical location of “Nigeria”. These terms of service shall be governed without exceptions by the Laws of the federation of Nigeria with no partiality or regard to the laws of any other country irrespective of the fact that either the patient or the medical practitioner is not domiciled therein.

 

  • Court of adequate jurisdiction” shall mean a competent court legally fortified to hear such cases as ones arising from these terms of service within the geographical location of Aspramed which in this case is IBADAN, OYO-STATE, NIGERIA.

 

  • Medical practitioner” shall mean any person who possesses the appropriate medical certification/degree and is deemed to have undergone adequate training and qualification from an institution recognized to be capable of conferring such qualification. In simple words, a doctor who can successfully undertake the care process of an ailing person with an assurance of recovery or positive difference in the original state of health.

 

  • Platform” Also referred to as ‘APP’ or “APPLICATION” or “SITE” shall mean the website available at the URL www.aspramed.com, irrespective of the device or medium through which it is accessed. The aforementioned website shall be updated by Aspramed from time to time subject completely to our prerogative.
  • Account” shall mean the account created by the user on the Application for availing the Services provided/facilitated by Aspramed. 
  • User” shall mean anyone who downloads, access, subscribes and engages the services facilitated/provided by Aspramed either through their own device or that of a third party.

 

  • User Information” shall mean and include any information described under Section 15 of this Terms of Service, submitted by the User through the use of the Platform. 
  • User Services” shall mean any and/or all services made available to a User, as the case may be, through the Platform, as more elaborately defined under Section 14 herein below.
  • Cookies” shall refer to the medium through which this website remembers you, keep track of your preferences, your habits online and your unique engagements in order to improve the quality of service rendered to you.
  • Privacy Policy” shall mean the privacy policy for this Platform, as may be updated from time to time by us. Our review of the privacy policy is entirely subject to our prerogative without a corresponding need to seek, require or accept your suggestions in this regard. 

 

  • Refund policy” shall mean our discretional policy on how we deal with refunds regarding your use and engagement of our platform.
  • User representation” shall refer to every information provided by you as regard its accuracy and correctness.
  • “Payment” shall refer to the required fees or subscription in regards to your engagement of our services. It shall also include the medium through which the said payment is made.

 

ARTICLE 3.0: APPLICABLE LAWS

In the event of any conflict of interests or issue of legality, these terms of use are entirely subject to the law of the Federal Republic of Nigerian irrespective of the geographical location of the user.  Every requirement in relation to user’s well-being is deemed adequately complied with without exceptions. These terms of service inclusive of the privacy policy is governed by the law of the Federal Republic of Nigerian without regard to its conflict of laws provision. 

By downloading this application, you consent to the exclusive jurisdiction of the courts in connection with any action or dispute arising between the parties under or in connection with this Platform. The laws of the Federal Republic of Nigeria, excluding its conflicts of law rules, shall govern this Agreement and your use of the platform/app.

By using Aspramed, you signify your acceptance of these terms inclusive of its Privacy Policy. If you do not agree to this, you should not engage with our platform, or use our services. Continued use of Aspramed, direct engagement with us, or following the posting of changes to these terms irrespective of what the changes are will mean that you accept those changes.

 

ARTICLE 4.0:USER REPRESENTATION

By using this platform, you represent and warrant that: 

  1. All registration information you submit will be true, accurate, current, and complete;
  2. You will maintain the accuracy of such information and promptly update such registration information as necessary;
  3. You have the legal capacity and you agree to comply with these Terms of Use; 
  4. You are not a minor in the jurisdiction in which you reside [or if a minor, you have received parental permission to use this platform.
  5. You will not access the platform through automated or non-human means, whether through a Robot, script or otherwise.
  6. You will not use this platform for any illegal or unauthorized purpose; and
  7. Your use of this platform will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of this Site (or any portion thereof). Additionally, we are absolved of liability regarding any damage that results from the inaccuracy of any information provided by you.

ARTICLE 4.1: USER REGISTRATION

You may be required to register with this platform; You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

ARTICLE 4.2: PROHIBITED ACTIVITIES

You may not access or use this platform for any purpose other than that for which we make this platform available. This platform may not be used in connection with any commercial endeavors except those that are specifically endorsed and or approved by us. You do not have the permission to;

  • systematically retrieve data or other content from this platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • make improper use of our support services or submit false reports of abuse or misconduct.
  • make any unauthorized use of this platform including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
  • use a buying agent or purchasing agent to make purchases on this platform or to advertise or offer to sell goods and services.
  • bypass, disable, or otherwise interfere with security-related features of the platform including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of this platform and/or the Content contained therein.
  • engage in unauthorized framing of or linking to this platform trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
  • engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
  • interfere with, disrupt, or create an undue burden on the platform or the networks or services connected to the platform attempt to impersonate another user or person or use the username of another user.
  • delete the copyright or other proprietary rights notice from any Content.
  • copy or adapt the platform’s software, including but not limited to Flash, PHP, HTML, JavaScript, Python or other code.
  • sell or otherwise transfer your profile.
  • use any information obtained from the platform in order to harass, abuse, or harm another person.
  • disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.
  • use this Site in a manner inconsistent with any applicable laws or regulations.
  • use this platform as part of any effort to compete with us or otherwise use this platform and/or the Content for any revenue-generating endeavor or commercial enterprise.
  • decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of this platform attempt to bypass any measures of this platform designed to prevent or restrict access to this platform or any portion of this platform.
  • harass, annoy, intimidate, or pass as a threat any of our employees or agents engaged in providing any portion of this platform to you.
  • upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of this Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of this platform.
  • except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
  • upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).

 

ARTICLE 5.0: PAYMENT AUTHORIZATION

By providing a credit card or other payment method accepted by Aspramed (“Payment Method”), you are expressly agreeing that we are authorized to charge to for the Payment Method any fees for your use of the Services, together with any applicable taxes. Please note that Aspramed may not receive complete information from your health insurance plan, if applicable, regarding the applicable co-pay due from you for your consultation. As such, you may be billed more than once with respect to a consultation to account for additional co-pay amounts due, if any. Should you choose not to enter your health plan billing details, you elect to be seen as self-pay, thereby waiving health plan claim submission.

You agree that authorizations to charge your Payment Method remains in effect until you cancel it via the appropriate channels, and you agree to notify Aspramed of any changes to your Payment Method. You certify that you are an authorized user of the Payment Method and will not dispute charges for the Services that correspond to consultation fees or the payment required by your health plan. You acknowledge that in the case of a transaction rejected for insufficient funds, Aspramed may at its discretion attempt to process the charge again at any time within 30 days. You acknowledge and agree that fees for consultations may increase at any time solely at our discretion.

ARTICLE 5.1: REFUND POLICY

If you make the decision to delete your account for whatever reason known to you, you are not entitled to a refund of any fees or payment you have made while your account was still in use. This applies without deference to whether or not you have made advance payments for services yet to be provided to you. 

ARTICLE 5.2: DISPUTE RESOLUTION

For all intent and purposes   

This dispute resolution clause is an agreement binding on and enforceable against you as it sets out the mechanism for the resolution of disputes between the USER(you) and Aspramed(US) to a contract. Without exception and regardless of circumstances leading to conflict of interest, you have agreed this day to explore exhaustively the following alternative dispute resolution processes, the results of which are binding on you and Aspramed(us).

  • Negotiation – In the event of any dispute or clash, in your interest and that of this platform, you have the option of attempting to resolve the issue without the involvement of a third party regardless of their joined interests or legal obligation to you. You have every opportunity to communicate your position accompanied by a considerably reasonable solution. We will make every effort within our confines of reasonability to reach a compromise that will be beneficial to your interest and ours. 

 

  • Mediation – Failure to reach a satisfactory compromise through negotiation, you have the option of invoking the help of a trained neutral third party known as a “mediator” to resolve the conflicts of interest. The goal of this mediation will be to help us reach a mutually beneficial agreement with your interests and ours adequately protected. The results of this process will be kept confidential and completely under the control of the user (you) and Aspramed(us).

 

In the event of persistence of conflict of interest after the above measures have been explored exhaustively, you have the option of filing your case before any court of competent jurisdiction, within the geographical location of Ibadan, Oyo-state, Nigeria.

 

ARTICLE 6.0: PRIVACY POLICY

 

ARTICLE 6.1: INTRODUCTION

This Privacy Policy describes how ASPRAMED collects and uses Personal Information about you through the use of our website, mobile, and through email, text, and other electronic communications between you and ASPRAMED.  We respect your privacy, and we are committed to protecting it through our compliance with this policy. This Privacy Policy describes the types of information we may collect from you or that you may provide when you visit www.aspramed.com, mobile app or our medical kiosk locations or any of our affiliated websites where this policy is posted. And one of our priorities is maintaining, protecting, and not disclosing the information of our patients except when necessary.

This policy applies to information we collect: 

  • On our Website and Application.
  • In emails, text message, phone conversations, audio and video interactions and other electronic messages between you and our Website and Application.
  • When you interact with our advertising and applications on third party websites and services, if those applications or advertising include links to this policy

It does not apply to information collected by: 

  • Us offline or through any other means, including on any other website operated by ASPRAMED or any third party.
  • Any third party, including through any application or content (including advertising) that may link to or be accessible from or on the Website or Application.

Note, ASPRAMED is not a medical group. All telemedicine consultation obtained through our website or Application, are provided by independent medical practitioners or medical groups with a network of health care providers. Your own medical provider if you do not use our Medical Provider) is responsible for providing you with a Notice of Privacy Practices describing its collection and use of your health information, not ASPRAMED. If you do not agree to be bound by these terms, you are not authorized to access or use our website, and you must promptly exit our website or Application. Please read this policy carefully to understand our policies and practices regarding your information and how we will treat it. If you do not agree with our policies and practices, you should elect not to use our website and Application. By accessing or using our website and/or Application, you agree to this Privacy Policy. This Privacy Policy may change from time to time. Your continued use of our website or Application after we make changes is deemed to be acceptance of those changes, so please check this Privacy Policy periodically for updates. 

 

ARTICLE 6.2: CHILDREN UNDER THE AGE OF 18.

Our Website and Application is not intended for children under the age of 18 without parental consent. If you are under the age of eighteen (18) and wish to create an account with ASPRAMED your parent or legal guardian must create the account, submit your personal information, and agree to this privacy policy on your behalf. If you are under the age of 18, you may only use our services and access our Website and Application with the supervision and consent of your parents or legal guardians, including the Provider consultation services. If we learn that we have collected personal information from someone under the age of 18 that was not provided with the supervision and consent of the minor’s parents or legal guardian, we will promptly delete that information. 

 

ARTICLE 6.3: INFORMATION WE COLLECT ABOUT YOU AND HOW WE COLLECT IT.

We collect different types of information about you, including information that may directly identify you, just as we do to other users of the application. This includes information that we collect directly from you or through automated collection technologies.

Generally

We collect several types of information from and about users of our Website and Application (Individual Personal Information), specific information:

  • By which you may be personally identified, such as name, address, e-mail address, home, work, and mobile telephone numbers, date of birth, credit or debit card number (for payment purposes only), audio (including recordings and transcripts), images and videos of you, gender, Social Security Number, your medical history, health insurance subscriber information, and health information, payment Information, Device/IP Information, Web Analytics, Geographical location Data, Other Identifying Information That You Voluntarily supply, Providers Services information, User Contact Data, User Demographic Data, Medical Data, Insurance Information, Booking Appointment Data, Social Network Data and any other necessary information. 
  • About your Internet connection, the equipment you use to access our website or use our application and usage details, such as traffic data, logs, referring/exit pages, date and time of your visit to our website or use of our application, error information, click stream data, and other communication data and the resources that you access and use on the Website or through our application.

We collect this information

  • Directly from you when you provide it to us.
  • Automatically as you navigate through the Website or use our application. Information collected automatically may include usage details, IP addresses, and information collected through cookies and other tracking technologies; and from third parties, for example, our business partners.
  • Information that you provide by filling in forms on our website or the Application videos, images and recordings when interacting with a Provider on our Website or the Application. This includes information provided at the time of registering to use our website or Application as well as information provided when using our Provider consultation services, purchasing products, or requesting further services. We may also ask you for information when you report a problem with our website or Application.
  • Records and copies of your correspondence (including email addresses), if you contact us; 
  • Details of transactions you carry out through our website or through the Application and of the fulfillment of your orders. You may be required to provide financial information before placing an order through our website or Application.

You also may provide information to be published or displayed (posted) on public areas of the Website or Application or transmitted to other users of the Website or Application or third parties (User Contributions). Your User Contributions are posted on and transmitted to others at your own risk. Although we limit access to certain pages, please be aware that no security measures are perfect or impenetrable. Additionally, we cannot control the actions of other users of the Website and Application with whom you may choose to share your User Contributions. Therefore, we cannot and do not guarantee that your User Contributions will not be viewed by unauthorized persons. The audio portion of your medical telemedicine visit (including audio from visits that include video) is recorded for purposes which may include treatment, quality, improvement of health status, customer and patient experience, customer, and patient engagement and/or behavior modification, peer review, payment, efficiency, cost effectiveness and/or other purposes relating to operations and provision of telehealth services. Behavioral health visits are not recorded. By using the telehealth services available through our Website and Application you specifically consent to the recording of the medical visit. 

 

Information We Collect through Automatic Data Collection Technologies

As you navigate through and interact with our Website and Application, we may use automatic data collection technologies to collect certain information about your equipment, browsing actions, and patterns, specifically:

  • Details of your access to and use of the Application and Website, including traffic data, location data, logs, and other communication data and the resources that the end user accesses and uses on or through the Application and Website.
  • Information about your mobile device and internet connection, including the device’s unique device identifier, IP address, operating system, browser type, mobile network information, and the device’s telephone number.
  • Information stored on your mobile device, including in other applications. This may include, photographs, audio and video clips, personal contacts, and health information. In particular, we may collect information through your application. This data will be used only to provide and improve our services, and will not be used or shared with third parties for marketing purposes;
  • Real-time information about the location of your device.

The information we collect automatically may include Personal Information or we may maintain it or associate it with Personal Information we collect in other ways or receive from third parties. It helps us to improve our Website and Application and to deliver a better and more personalized service by enabling us to: 

  • Estimate our audience size and usage patterns.
  • Forecast future needs, functions, and uses of our services, the Website, and the Application.
  • Better understand user satisfaction levels and experiences
  • Store information about your preferences, allowing us to customize our Website and our Application according to your individual interests.

  • Enforce our rights arising from contracts.

  • Provide you with notices about your account.

We use information that we collect about you or that you provide to us, including any Personal Information: 

  • To provide and improve our Website, Application, products, and services. For example, we may convert our recordings to text and perform machine learning on data we receive.
  • To provide you with information, products, or services that you request from us or that may be of interest to you
  • For purposes of treatment, quality, improvement of health status, customer and patient experience, customer, and patient engagement and/or behavior modification, peer review, payment, efficiency, cost effectiveness and/or other purposes relating to operations and provision of telehealth services.
  • To process, fulfill, support, and administer transactions and orders for products and services ordered by you.
  • To provide you with notices about your ASPRAMED account.
  • To contact you in response to a request.
  • To administer surveys.
  • To fulfill any other purpose for which you provide it.
  • To carry out our obligations and enforce our rights arising from any contracts entered into between you and us or between us and health plans or other benefit programs, including for billing and collection.
  • To notify you about changes to our website, our application, or any products or services we offer or provide though them.
  • In any other way we may describe when you provide the information; 
  • For any other purpose with your consent.

We may also use your information to contact you about goods and services that may be of interest to you, including through newsletters. If you wish to opt-out of receiving such communications, you may do so at any time by clicking unsubscribe at the bottom of these communications. 

Keeping Data Confidential

We place strict controls over our employees’ access to user data and have technical controls and audit policies in place to ensure the confidentiality, integrity, and availability of user data. Our employees and contracted personnel working with any user data are bound to our policies, and we treat these issues as matters of the highest importance. Your personal information is safe from compromise.

Privacy and Security Training

Everyone at Aspramed receives regular training to ensure that we remain focused on privacy and security. We embrace national standards to protect the personal information of patients through relevant state and federal laws. We also ensure that our employees receive annual data security training, regardless of their role in the company.

Certifications and Audits

Aspramed works with outside experts to maintain high standards and rigorous security practices. We hire third parties to test our services and processes as part of our recurring penetration testing program. 

Data Encryption

We employ industry standard technology to safeguard data. Our platform uses full volume encryption on all data stored at rest, with secure backups and robust backup policies. We also use Transport Layer Security (TLS) connections to transmit data over HTTPS.

 

Secure Storage

Aspramed Telemedicine leverages secure cloud computing, including Google Cloud platform (GCP), to store data in physically and electronically secure facilities. For a list of all current GCP security accreditations, see the GCP Compliance Programs page.

Network Protection

In addition to sophisticated system monitoring and logging, we utilize robust administrative identity, authorization, accountability, and authentication controls (including multi-factor authentication), as well as intrusion prevention and detection controls to protect our platform.

Vulnerability Management

We have a vulnerability management policy that covers internal and external testing, including annual third-party penetration testing, to find and remediate vulnerabilities that may present a risk to our platform or data.

Logging and Monitoring

Aspramed operates extensive security information and events management system Aspramed maintains a centralized logging environment, which contains events pertaining to security, monitoring, availability, access, and other metrics about the platform. We review our logging and monitoring systems regularly and respond promptly to automatic alerts.

Incident Management & Response

Aspramed has incident management policies and procedures in place in the event of a security breach. This includes notifying users of any unauthorized access to their data in the event of a breach as defined under relevant state laws.

Product Security Practices

New features, functionality, and design changes go through a security review process facilitated by the Aspramed development team. We utilize automated static analysis software, and our teams manually peer-review code prior to being deployed to production. The Information Security team works closely with development teams to resolve any security concerns that may arise during development.

 

ARTICLE 6.5: DISCLOSURE OF YOUR INFORMATION

We do not share or otherwise disclose your Personal Information for purposes other

than those outlined in this Privacy Policy. We may disclose Personal Information that we collect, or you provide as described in this privacy policy:

  • To affiliates, contractors, service providers, and other third parties we use to support our business. The services provided by these organizations include providing IT and infrastructure support services, and ordering, marketing, and payment processing services.
  • To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Information held by ASPRAMED about our Website and Application users are among the assets transferred.
  • To fulfill the purpose for which you provide it. For example, we may disclose your personal information to a Provider
  • For any other purpose disclosed by us when you provide the information.
  • With your consent, we may also disclose your Personal Information.
  • To comply with any court order, law, or legal process, including to respond to any government or regulatory request.
  • To enforce or apply our Terms of Use and other agreements, including for billing and collection purposes
  • If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of ASPRAMED, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.

ARTICLE 6.7: YOUR RIGHTS REGARDING YOUR INFORMATION AND ACCESSING AND CORRECTING YOUR INFORMATION

You can review and change your Personal Information by logging into our Website or Application and visiting either the Account Details section of our Application or Website. You may also notify us through the Contact Information below of any changes or errors in any Personal Information we have about you to ensure that it is complete, accurate, and as current as possible or to delete your account. We cannot delete your personal information except by also deleting your account with us. We may also not be able to accommodate your request if we believe it would violate any law or legal requirement or cause the information to be incorrect. 

ARTICLE 6.8: DO NOT TRACK SIGNALS

We currently do not use automated data collection technologies to track you across websites. We currently do not honor do-not-track signals that may be sent by some browsers. Some web browsers permit you to broadcast a signal to websites and online services indicating a preference that they “do not track” your online activities. At this time, we do not automatically honor such signals. However, please review other portions of this Policy regarding your ability to disable tracking technologies.
